XIDELTA+ - LICENCE AGREEMENT & TERMS OF SALE Not made by, affiliated with or endorsed by Korg. "Korg" and "minilogue xd" are their marks, used here only to say which instrument this software works with. This agreement is between you ("you") and ALOIMONOU, IOKASTI-ELENI, & CO. E.E., of Aristodimou 52, 24100, Kalamata, Greece ("we", "us", "the Licensor"), the maker of XiDelta+. By installing, launching, or using XiDelta+ - including during the free trial - you agree to this Licence Agreement and to the Refund Policy referenced in section 10. If you do not agree, do not install or use the software. 1. HOW YOU BUY THIS Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service enquiries relating to your order and handles order-related support and returns. The price shown at checkout is in Euros and includes VAT where applicable. Paddle calculates and collects any tax due in your country as part of that price. 2. THE FREE TRIAL XiDelta+ runs fully unlocked for 14 days from first launch, on any machine, with no purchase and no obligation. When the trial ends, the software locks until a licence is installed - nothing is uninstalled or deleted, and your patches, libraries and DAW projects are never touched. 3. GRANT OF LICENCE Once you hold a valid licence, we grant you a personal, non-exclusive, non-transferable licence to install and use XiDelta+ - every format included (VST3, AU, the Inst variant, and the standalone application) - on up to THREE Macs that you personally own or control, for as long as this agreement remains in effect. This is a licence to use the software, not a sale of it. We keep all ownership of XiDelta+ itself; see section 6. One licence covers every 1.x release of XiDelta+ at no extra cost, for as long as 1.x is the current version. A future major version (2.0 or later, if one is ever released) may be sold separately; a 1.x licence is not required to keep working with 1.x software just because 2.0 exists. 4. WHAT YOU MAY NOT DO You may not: - sell, rent, lease, sublicense, lend or otherwise give XiDelta+ or your licence file to anyone else; - share, publish or distribute your licence file; - remove or alter any copyright or licence notice in the software; - disable, bypass or interfere with the trial or licence check; - reverse-engineer, decompile or disassemble the software, except to the extent a mandatory law (such as Article 6 of EU Directive 2009/24/EC on interoperability) gives you that right despite this clause. Breach of this section ends your licence - see section 9. 5. YOUR OWN DATA Patches, libraries and settings you create with XiDelta+ are yours. Nothing about your use of the software - not your patches, not diagnostic logs, not the licence check itself - is ever sent anywhere. See the manual, section 4, for exactly what the licence check does and does not do. 6. OWNERSHIP XiDelta+, including its code, design and documentation, is our property (or licensed to us) and is protected by copyright law. This agreement gives you the right to use it under the terms above; it does not transfer any ownership to you. "Korg" and "minilogue xd" are trademarks of Korg Inc. We are not affiliated with, sponsored by, or endorsed by Korg. We use those names only to accurately describe which instrument XiDelta+ works with. 7. NO WARRANTY XiDelta+ is provided "as is". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including any implied warranty of merchantability or fitness for a particular purpose. We do not warrant that the software will be error-free or uninterrupted. Nothing in this section limits any statutory right you have as a consumer that the law does not allow us to exclude. 8. LIMITATION OF LIABILITY To the maximum extent permitted by law, our total liability to you for any claim arising from this agreement or your use of XiDelta+ is limited to the amount you actually paid for your licence. We are not liable for indirect, incidental or consequential damages, including lost data, lost profits, or damage to hardware. Nothing in this agreement excludes or limits liability that cannot be excluded or limited under applicable law (for example, liability for death or personal injury caused by negligence, or for fraud). 9. TERMINATION This licence ends automatically if you breach section 4. If that happens, you must stop using XiDelta+ and delete all copies. The Refund Policy, sections 6 to 9 of this agreement, and this section all survive termination. 10. REFUNDS Refunds are covered by our separate Refund Policy, published alongside this agreement. Purchases are also processed by Paddle.com as Merchant of Record, and Paddle's own buyer terms apply to the payment itself. 11. GOVERNING LAW This agreement is governed by the laws of Greece. If you are a consumer resident in the EU/EEA or UK, the mandatory consumer- protection laws of your own country of residence still apply and are not overridden by this section. 12. CHANGES, AND CONTACT We may update this agreement for future releases of XiDelta+; a new version will be dated and posted with the software. XIDELTA+ - REFUND POLICY You can try XiDelta+ free for 14 days, fully unlocked, before you pay for anything. We think that is the best refund policy there is - you already know exactly what you are buying. Even so, if a licence still doesn't work out for you: 30-DAY MONEY-BACK GUARANTEE If you bought a XiDelta+ licence and are not happy with it, write to nectariosm@hotmail.com within 30 days of your purchase date and ask for a refund. No reason required. Once approved, we'll ask Paddle.com - our Merchant of Record, who actually processed your payment - to refund you to your original payment method. Paddle's own processing time applies; expect it within 14 days of approval. Include your order number (from your receipt) so we can find your purchase quickly. IF YOU ARE AN EU/EEA, UK, TURKISH OR ISRAELI CONSUMER You may also have a statutory 14-day right of withdrawal on digital purchases under your own country's consumer law. Paddle, as Merchant of Record, honours that right independently of the 30-day guarantee above - see Paddle's own refund policy at paddle.com/legal/refund-policy for how that works. Nothing in this policy takes that statutory right away from you. THE ONLY LIMIT We reserve the right to decline a refund request that is abusive, fraudulent, or a repeat request on the same licence. This has never happened yet, and we'd rather keep it that way by being generous, not strict - if something about your purchase seems unfair, tell us and we'll sort it out. The only personal data involved is what Paddle.com needs to process a purchase, and what you send us directly if you email us. =============================================================== 1. THE SOFTWARE =============================================================== XiDelta+ has no account, no login, and no telemetry. It does not phone home, does not send usage data anywhere, and does not track how or whether you use it. It talks only to your Korg minilogue xd over MIDI and to your DAW or the standalone app you run it in. Nothing about your patches, projects, or use of the software ever leaves your machine. The free trial and the licensed version behave identically in this respect - trialling XiDelta+ collects no more data than buying it does. =============================================================== 2. BUYING A LICENCE =============================================================== Our order process is conducted by our online reseller Paddle.com, who is the Merchant of Record for all our orders. When you buy a licence, Paddle collects and processes the personal and payment data needed to complete that purchase - your name, email, billing address, and payment details - and uses it to issue a receipt, calculate and collect any tax due, and handle order-related support and refunds. We do not see or store your card details. Paddle passes us your email address and order details so we can issue your licence file by hand and answer support questions about your purchase. THE WEBSITE =============================================================== getxidelta.com is a static site hosted on Cloudflare Pages. We do not run analytics, tracking scripts, or advertising cookies on it. Cloudflare, as our hosting provider, processes standard web server logs (such as IP address and request data) to serve the site and protect it from abuse, and may apply automated bot and security checks (such as Cloudflare Turnstile) for the same purpose - see Cloudflare's own privacy policy for details: https://www.cloudflare.com/privacypolicy/ =============================================================== 4. IF YOU EMAIL US =============================================================== If you write to nectariosm@hotmail.com, we keep that email and whatever you send us for up to 24 months, so we can answer you and handle any follow-up. We don't use it for anything else, and we don't sell or share it with anyone beyond what section 2 already describes. =============================================================== 5. YOUR RIGHTS =============================================================== If you're in the EU/EEA, UK, or another jurisdiction with data protection rights, you can ask us what personal data we hold about you, ask us to correct, delete, or receive a copy of it (data portability), or object to how it's used, by writing to nectariosm@hotmail.com. You also have the right to lodge a complaint with your local data protection supervisory authority if you believe your rights have not been respected.
